Acceptance of Terms#

By accessing or using QRKEEPER ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including:

  • Customers: Individuals who save and use digital loyalty cards
  • Business Owners: Individuals or entities who create and manage loyalty programs
  • Staff Members: Employees authorized by Business Owners to record visits

Service Description#

QRKEEPER is a digital loyalty card platform that enables:

  • For Businesses: Create digital loyalty programs, generate QR codes for customer acquisition, track visits, analyze referral networks, and manage team members
  • For Customers: Save loyalty cards to a digital wallet, track visit history, share cards with friends for referral attribution, and manage multiple loyalty programs in one place

The Service is provided on a subscription basis with both free and paid tiers.

User Accounts#

Registration#

To use certain features, you must create an account by providing:

  • A valid email address, or
  • Signing in through Google or Apple authentication

You must provide accurate, current, and complete information during registration and keep your account information up-to-date.

Account Security#

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We are not liable for any loss or damage arising from your failure to protect your account.

One Account Per Person#

Each individual may maintain only one personal account. Creating multiple accounts to circumvent service limitations or abuse referral systems is prohibited.

Business Accounts#

Business Registration#

When registering a business, you represent and warrant that:

  • You have the legal authority to create the business profile
  • The business information you provide is accurate and not misleading
  • You have the rights to use any logos, images, or content you upload
  • Your business operates legally in your jurisdiction

Business Owner Responsibilities#

As a Business Owner, you are responsible for:

  • The accuracy of your business information and loyalty program details
  • Compliance with local laws regarding loyalty programs and customer data
  • Managing team member access appropriately
  • Ensuring your staff uses the Service in accordance with these Terms

Data Handling#

Business Owners acknowledge that:

  • Customer visit data is processed on their behalf
  • They must handle any customer data in compliance with applicable privacy laws
  • They may not use customer data obtained through the Service for purposes outside the loyalty program

Acceptable Use Policy#

You agree NOT to use the Service to:

Fraudulent Activities#

  • Create fake or non-existent businesses
  • Misrepresent your identity or affiliation with any person or organization
  • Manipulate visit records or analytics data
  • Engage in fraudulent referral schemes (e.g., creating fake accounts to earn referral credits, self-referrals through multiple accounts)

Technical Abuse#

  • Scrape, crawl, or use automated means to access the Service without permission
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent any rate limits, usage restrictions, or security measures

Harmful Content#

  • Upload malware, viruses, or other harmful code
  • Post content that is illegal, defamatory, harassing, or violates others' rights
  • Distribute spam or unsolicited communications
  • Collect personal information of other users without consent

Privacy Violations#

  • Access, collect, or store personal data of other users without authorization
  • Share customer data outside the scope of the loyalty program
  • Use the Service to track individuals without their knowledge or consent

Violation of this policy may result in immediate account termination without notice.

Intellectual Property#

Our Rights#

The Service, including its original content, features, and functionality, is owned by QRKEEPER and protected by international copyright, trademark, and other intellectual property laws.

The QRKEEPER name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of QRKEEPER.

Your Rights#

You retain ownership of any content you create or upload to the Service, including:

  • Business logos and images
  • Loyalty card designs and descriptions
  • Business profile information

License Grant#

By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

This license terminates when you delete the content or your account, except where the content has been shared with others who have not deleted it.

Subscription Terms#

Free Tier#

The free tier includes limited functionality:

  • Up to 100 customers per business
  • Up to 500 QR scans per month
  • Basic analytics
  • Limited team member slots

Paid subscriptions provide additional features and higher limits. Current plans and pricing are available on our pricing page.

Payment Processing#

All payments are processed by Stripe. By subscribing to a paid plan, you also agree to Stripe's Terms of Service and Privacy Policy.

We do not store your complete payment information. Stripe handles all payment processing in compliance with PCI-DSS standards.

Billing#

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are exclusive of taxes, which may be added where required by law
  • You authorize us to charge your payment method on a recurring basis

Cancellation#

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for subsequent periods
  • You will retain access to paid features until the subscription expires
  • Your account will revert to the free tier with applicable limitations

Refunds#

We generally do not provide refunds. However, we may consider refund requests on a case-by-case basis for:

  • Technical issues preventing use of the Service
  • Billing errors
  • Other exceptional circumstances

Price Changes#

We reserve the right to modify subscription prices. Any price changes will:

  • Be communicated at least 30 days in advance
  • Take effect at the start of the next billing cycle
  • Not affect current prepaid subscription periods

Limitation of Liability#

Service Provided "As Is"#

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors will be corrected

Limitation of Damages#

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • QRKEEPER shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss of data, business interruption, or lost profits

Exceptions#

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the greatest extent permitted by law.

Termination#

By You#

You may terminate your account at any time by:

Upon termination:

  • Your account data will be deleted within 30 days
  • Business data and associated customer visit records will be removed
  • Anonymized analytics data may be retained

By Us#

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or any applicable laws
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees when due
  • Create risk or legal exposure for us

Effect of Termination#

Upon termination:

  • Your right to use the Service ceases immediately
  • All licenses granted to you terminate
  • You remain liable for any amounts owed
  • Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, and dispute resolution)

Dispute Resolution#

Governing Law#

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

Informal Resolution#

Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us at support@qrkeeper.com. We will try to resolve disputes within 30 days.

Jurisdiction#

Any legal action arising from these Terms shall be brought exclusively in the courts located in Prague, Czech Republic, and you consent to the personal jurisdiction of such courts.

Class Action Waiver#

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to Terms#

We may modify these Terms at any time. We will notify you of any changes by:

  • Posting the new Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification for material changes

Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

General Provisions#

Entire Agreement#

These Terms constitute the entire agreement between you and QRKEEPER regarding the Service and supersede any prior agreements.

Severability#

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver#

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment#

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
